TaxClaw Cloud — Terms of Service
TaxClaw is a service of Outbranch Network LLC.
This is a draft placeholder. It has not been reviewed by the owner or by counsel and is not final. It may change before paid launch. Text marked [Pending review] is an open item that has not been decided or verified.
- Effective date: [Pending review]
- Provider ("we", "us", "our"): Outbranch Network LLC, a New York limited liability company [Pending review]
- Contact: lando@outbranch.net
- Service: TaxClaw Cloud, the hosted remote MCP server at
https://mcp.taxclaw.net/mcp, together with its tools, payments and outputs (the "Service")
IMPORTANT: These Terms of Service are a legally binding agreement between you and Outbranch Network LLC. By connecting an AI agent or MCP client to the Service, signing a free-page claim, signing a payment authorization, or submitting a document, you agree to these Terms, whether you do so yourself or through your agent. Your agent's acceptance is your acceptance (section 2). If you do not agree, do not use the Service and do not let your agent use it.
PLEASE READ THIS FIRST. TAXCLAW CLOUD DOES NOT PREPARE, REVIEW OR FILE TAX RETURNS. IT IS A DOCUMENT-EXTRACTION SERVICE THAT TURNS WHAT IS PRINTED ON A TAX DOCUMENT INTO STRUCTURED DATA. OUTBRANCH NETWORK LLC MAKES NO REPRESENTATION OR WARRANTY THAT ANY EXTRACTED VALUE IS ACCURATE, COMPLETE OR SUITABLE FOR FILING. YOU AND YOUR AGENT ARE SOLELY RESPONSIBLE FOR VERIFYING EVERY VALUE AGAINST THE ORIGINAL DOCUMENT AND FOR ANYTHING FILED WITH ANY TAX AUTHORITY. A SIGNED TAXCLAW RECEIPT PROVES ONLY ORIGIN AND INTEGRITY (WHERE AN OUTPUT CAME FROM AND THAT IT HAS NOT BEEN ALTERED), NEVER ACCURACY; IT IS NOT A CERTIFICATION OF ACCURACY, COMPLETENESS OR FITNESS FOR FILING, AND MUST NOT BE PRESENTED AS ONE. SEE SECTIONS 5, 6, 12, 13 AND 14.
1. What TaxClaw Cloud is — and is not
We're not processing anyone's taxes. We're helping get the documents in order.
TaxClaw Cloud is a document-extraction service built for AI agents. It performs automated data extraction on documents you supply and returns the results only to you. It reads the fields printed on tax documents (W-2, 1099 variants, K-1, brokerage statements and similar forms) and turns them into structured data, with a confidence value and a review flag for each field, so that you, your accountant or your tax software can work from clean data instead of retyping boxes. Every extraction response carries a standard object (the TaxClaw core version and schema version the output follows), a data_handling field and a processed_by field, so your agent can show you exactly what was done and by whom. Each successful extraction also returns a signed TaxClaw receipt (section 5.6), which proves origin and integrity, never accuracy; batches of receipt hashes are anchored on the Base blockchain once a day. The outputs (structured fields, and on request a Form 8949 CSV or a TXF file) are built from what is printed on your documents. They are not a tax return, and the Service does not decide how anything should be reported or place any amount on any line of any return. Fields are named after what is printed on the form (its boxes and labels), not after the lines of a tax return [Pending review]. No software license is granted (section 10.4): you do not install, configure or control any software of ours; you send documents and receive results. We never sell, pool or reuse your documents or the data extracted from them.
The Service is NOT:
- a tax preparation service;
- a tax return review service;
- a tax return filing service, or an IRS-authorized e-file provider;
- a source of tax, legal, accounting or financial advice;
- a CPA firm, law firm, enrolled agent service or credentialed tax service of any kind.
The Service does NOT:
- prepare, review or file tax returns;
- interpret tax items or tell you how to treat any item on a return;
- place amounts on return lines, or assign any item to any form, schedule or line;
- compute tax liability;
- determine cost basis;
- verify the accuracy of what is printed on your source documents;
- guarantee that extracted values are correct, complete or usable for any purpose, including filing.
Outbranch Network LLC is not a CPA firm, a law firm or a tax preparer. Use of the Service does not create any professional, fiduciary, advisory, accountant-client or attorney-client relationship between you and Outbranch Network LLC. For tax advice, consult a qualified tax professional: a CPA, an Enrolled Agent or a licensed tax attorney.
2. Your agent acts for you
2.1 Agent acceptance. The Service is used by software: an AI agent or MCP client that you have connected, configured or authorized (your "agent"). When your agent connects to the Service, signs a free-page claim, signs a payment authorization or submits a document, it does so on your behalf. Your agent's acceptance of these Terms is your acceptance, and you are bound by these Terms as if you had read and accepted them yourself, whether or not you personally saw them. You are responsible for ensuring that anyone who configures an agent to use the Service with your wallet is authorized to bind you. [Pending review]
2.2 Your agent's actions are your actions. You are responsible for everything your agent does with the Service, including every document it submits, every free-page claim and payment authorization it signs, the wallet it uses and that wallet's key, and what it does with the results we return.
2.3 Configure it with care. The free quote tool shows the page count, the exact price, the wallet's free-page status and the document's SHA-256 fingerprint before any payment, and every extract_document call requires an idempotency key, so that a retry is never charged twice. We recommend configuring your agent to quote first, to reuse idempotency keys on retries, and to apply whatever spending limits you want on its wallet.
2.4 Your agent's own rules. Your agent's provider may restrict what it is allowed to send to a connected service. You are responsible for complying with your agent's terms. We do not control your agent and cannot see what it stores.
3. Eligibility; no accounts
3.1 No accounts. There is nothing to register and nothing to sign in to. There is no email, no OAuth and no card checkout. The Service identifies your agent only by the wallet address it claims free pages with or pays from. We collect no email address and no name.
3.2 Eligibility. You must be able to form a binding contract; the Service is intended for adults managing tax documents. The minimum age and any other eligibility conditions are [Pending review].
3.3 Sanctions. You represent that you are not, and your agent is not acting for, a person or entity that is the target of US sanctions or named on a US government sanctions list, including the Treasury Department's Specially Designated Nationals list; that you are not located in, organized in or ordinarily resident in a country or region subject to comprehensive US sanctions; and that no wallet used with the Service is owned or controlled by such a person or located in such a place. We may screen wallets, including before any refund, and we may refuse or end service, and decline a refund, where a screen fails. Whether the x402 payment facilitator also screens payments, and how, is [Pending review].
3.4 Where the Service is offered. Whether the Service is offered only in the United States, also to business customers outside the United States, or globally has not been decided [Pending review].
3.5 One free tier per person. Using multiple wallets to obtain more than one free allowance is prohibited (section 8).
4. You must be authorized to submit each document
4.1 Authorization. By submitting a document, directly or through your agent, you represent and warrant that either the document is yours, or you have the permission of the taxpayer it belongs to to submit it to the Service and to receive the extracted data. This applies to every document, including each document inside a multi-document packet.
If you submit documents on behalf of other people, for example as a bookkeeper, preparer or family member, you are responsible for obtaining and keeping any consent that applies to you, including any consent that IRC §7216 and Treas. Reg. §301.7216 require of you before you disclose a client's tax return information to us. [Pending review]
4.2 Tax return information (IRC §7216). We treat the documents you submit, and the data we extract from them, as tax return information, and we hold ourselves to the use and disclosure limits that IRC §7216 and Treas. Reg. §301.7216 place on tax return preparers, whether or not those rules are ultimately held to apply to us. In particular:
- we use and disclose your tax return information only to provide the Service to you and to meet our legal obligations;
- the only third parties that receive document content are the AI model providers and the infrastructure providers listed in the Privacy Policy; their written agreements, US hosting and any notices of IRC §§6713 and 7216 are [Pending review];
- we do not intend to disclose your tax return information outside the United States, and we never intend to disclose Social Security numbers or other taxpayer identification numbers to anyone outside the United States [Pending review];
- we do not use your tax return information for marketing, analytics or model training, we do not sell, pool or reuse it, and we do not produce or sell statistics from it;
- we make no use or disclosure that would require a taxpayer consent under Treas. Reg. §301.7216-3. How such a consent would be obtained, if it is ever needed, is [Pending review].
We may refuse service to any wallet that we reasonably believe is submitting documents without authorization.
4.3 If you are a tax return preparer. If you are yourself a tax return preparer, you remain responsible for your own §7216 compliance, including any client consent and any representation that your disclosure to us is permitted. The specific terms for preparer-customers are [Pending review].
5. Assisted extraction: no filing, no review, and your responsibility
5.1 What the Service is not doing. The Service does not prepare, review or file any return. Nothing it returns is a review of a return, a determination of how an item should be reported, or a statement that a document is complete, correct or sufficient for filing.
5.2 AI extraction is imperfect. The Service uses artificial-intelligence models to read your documents. AI extraction may produce errors, omissions, transpositions or misreadings. Confidence values and needs_review flags are aids for your review, not guarantees: a value can be wrong without being flagged, and a flagged value can be right.
5.3 You must verify every value. Before using any extracted value for any purpose, you must check it against the original document. This includes values that were not flagged for review, and every row of any Form 8949 CSV or TXF file.
5.4 The published benchmark and the standard object. The TaxClaw extraction core is measured on a published synthetic benchmark (see "Measured accuracy" in the TaxClaw CHANGELOG: https://github.com/DougButdorf/TaxClaw/blob/main/CHANGELOG.md#measured-accuracy-synthetic-benchmark). Those results are measured on invented documents under test conditions that differ from this Service's production routing. They are not a measurement of accuracy on real documents, not a measurement of this Service as deployed, and not a promise about your documents. The standard object and the benchmark describe how the Service works; they are not a representation or warranty that any particular value in your results is correct. [Pending review]
5.5 You and your agent are solely responsible for:
- verifying every extracted value against your original documents before relying on it;
- the accuracy and completeness of any tax return or other filing that you, your agent, your preparer or anyone else prepares or files using data from the Service;
- any tax, penalty, interest, assessment, audit, examination, notice, amended return or professional cost resulting from errors in data you relied on;
- deciding whether the Service's outputs are suitable for your intended use.
Outbranch Network LLC makes no representation or warranty, express or implied, about the accuracy, completeness or fitness for any purpose of data extracted by the Service.
5.6 Signed receipts prove origin and integrity only. Each successful extraction returns a signed TaxClaw receipt: an EIP-712 signature by a TaxClaw key over the SHA-256 of the input document, the SHA-256 of the output, the TaxClaw standard and schema version, the document type, tax year and page count, the models used, the number of fields flagged for review, the time of issue, a hash of the request identifier and the payment reference (for a paid call the network, transaction hash, amount and paying wallet; for a free call the wallet the free pages were granted to). It contains no extracted values. Anyone can check a receipt with the free verify_receipt tool against the signer keys we publish at https://mcp.taxclaw.net/.well-known/taxclaw-receipts.json. If a receipt cannot be issued for a successful extraction, the result is still returned, with receipt: null and a warning. Receipts are anchored on the Base blockchain. Batches of receipt hashes are anchored on Base through the Ethereum Attestation Service (EAS) once a day (scheduled 06:00 UTC), and only a batch root goes on chain. Until its batch is anchored, a receipt's anchor status reads "pending". Receipts signed before anchoring was switched on are included in later batches, oldest first.
A signed receipt proves two things and nothing more: that the output came from TaxClaw Cloud under the stated standard version (origin), and that the output has not been changed since we produced it (integrity). It never proves accuracy. A signed receipt is not a warranty, certification or representation that any extracted value is accurate, complete or suitable for filing. It does not mean a document was read correctly, that the values are the taxpayer's correct figures, or that a return built from them will be accepted by any tax authority. You must not present a receipt or anchored batch root to anyone as a certification of tax data, and you must not describe outputs as "TaxClaw-certified", "verified by TaxClaw" or anything similar.
We may rotate or revoke signing keys at our discretion, and we may change the receipt format and the anchoring method. How the verification result is reported for a receipt signed by a key we later revoke is [Pending review]. On-chain batch roots are permanent and public and cannot be removed by us or by anyone else; they contain no document data, extracted values or personal information. Whether these records keep the name "receipt" is [Pending review].
6. Release of filing-related claims
6.1 Release. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU RELEASE AND WAIVE ALL CLAIMS, DEMANDS AND CAUSES OF ACTION, KNOWN OR UNKNOWN, AGAINST OUTBRANCH NETWORK LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, SUPPLIERS AND AFFILIATES ARISING OUT OF OR RELATING TO: (a) THE ACCURACY, COMPLETENESS OR SUITABILITY OF ANY EXTRACTED VALUE, CONFIDENCE SCORE, FLAG, FILE OR SUMMARY; (b) ANY TAX RETURN, FORM, SCHEDULE, ELECTION OR OTHER FILING PREPARED, REVIEWED, SIGNED OR FILED BY YOU, YOUR AGENT, YOUR PREPARER OR ANYONE ELSE USING THE SERVICE'S OUTPUTS; (c) ANY TAX, PENALTY, INTEREST, ASSESSMENT, AUDIT, EXAMINATION, NOTICE, INQUIRY OR AMENDED RETURN; AND (d) ANY DECISION MADE OR NOT MADE IN RELIANCE ON THE SERVICE'S OUTPUTS.
6.2 Scope. This release binds you. It does not bind a taxpayer who is not a party to these Terms; your authorization and indemnification obligations (sections 4 and 14) cover documents you submit for others. State-specific release language, and which claims cannot be released, are [Pending review].
7. Free tier, pricing and payment
7.1 Free tier: 10 free pages per wallet. Each wallet can receive up to 10 free pages: the first 10 pages of its lifetime usage. To claim them, your agent asks for a claim message (get_free_claim_message), signs it with the wallet's key, and sends the signature (claim_free_pages). The message is an EIP-4361 ("Sign-In with Ethereum") message with a single-use nonce and an expiry. Signing it proves control of the wallet; it is not a blockchain transaction, it costs nothing and it moves no funds. Free pages are also subject to a service-wide daily limit; when it is reached, free pages are unavailable until 00:00 UTC, and quote and get_wallet_status show whether free pages are available before any payment. Under the current pricing code, pages 1–10 of a wallet that has not claimed its free pages, or whose free pages are unavailable because of the daily limit, are billed at $0.08 per page instead of being free [Pending review]. We may change or end the free tier at any time. Free pages have no cash value.
7.2 Pricing, cumulative per wallet. The Service is priced per page, counted cumulatively across all documents successfully extracted for the same wallet over the lifetime of that wallet's use of the Service:
| Pages (cumulative per wallet) | Price per page |
|---|---|
| 1–10 | Free (once claimed; section 7.1) |
| 11–50 | $0.08 |
| 51 and above | $0.05 |
A single document can straddle tiers. For example, a wallet's first document of 25 pages costs $1.20 (pages 1–10 free; pages 11–25 at $0.08). If a wallet has already extracted 45 pages and submits a 10-page document, pages 46–50 cost $0.08 each and pages 51–55 cost $0.05 each, for $0.65. Only pages of successful extractions count toward the cumulative total. All prices are in US dollars, paid in USDC.
Prices are subject to change. Current prices are published in the Service's llms.txt (https://mcp.taxclaw.net/llms.txt) and MCP server card, and the quote tool shows the exact price for your document before any payment. A price change applies to calls made after it is posted; it never changes a price your agent has already been quoted and paid for.
7.3 Quotes and page counting. The quote tool is free and anonymous: it needs no wallet and no payment, and it does not send your document to any AI provider. It returns the page count, the billable pages, the exact price, the wallet's free-page status (when a wallet is given) and the document's SHA-256 fingerprint. An extraction call must carry the fingerprint of the exact document it submits. Page counts are determined by the Service from the submitted file: each page of a PDF or TIFF counts as one page, and a PNG, JPEG or WebP image counts as one page. A single call is limited to 50 pages and 20 MB.
7.4 You are charged only for success. A failed extraction is never charged and its payment authorization is never settled. A successful extraction is charged exactly once per idempotency key: retrying with the same key returns the original result without a second charge, and re-extracting a document that has already been paid for under the same key and fingerprint is free. When the Service escalates a page to a stronger model, you are not charged twice for that page.
7.5 Payment by x402 only (USDC on Base). The Service accepts payment only through the x402 protocol: USDC on the Base network, from your agent's wallet, per call. There is no card payment, no invoice and no prepaid credit. The flow is:
- your agent quotes the document;
- your agent signs a payment authorization for the exact quoted amount, for the call's idempotency key and document fingerprint, with a short validity window;
- we verify the authorization with an x402 facilitator before doing any work;
- we extract the document;
- only if extraction succeeds, we settle the authorization. If it fails, the authorization is never settled and expires unused.
x402 payments are final once settled on-chain. A settled USDC transfer cannot be reversed by us, by the facilitator or by anyone else. If you believe a charge was wrong, email lando@outbranch.net with the wallet address, the idempotency key and the document fingerprint. Refunds are at our discretion. When we grant one, it is paid by a new on-chain transfer of the same amount from our receiving wallet to the paying wallet, never to any other address, and is complete when that transfer is confirmed on-chain. We hold no balances, credits or deposits for you, and nothing you pay is redeemable for cash. You are responsible for your wallet, its key, any network fees, and the spending limits you give your agent. On-chain records are public.
The facilitator is not the seller. The x402 facilitator verifies and settles payments. It is not the merchant of record and does not sell the Service. Outbranch Network LLC is the seller of the Service and is responsible for its own tax obligations (section 7.6). The facilitator is Coinbase's x402 facilitator (Coinbase Developer Platform) [Pending review].
7.6 Taxes. How sales, use, value-added and similar taxes apply to payments from wallet-only payers is unresolved [Pending review]. Prices shown by quote exclude all such taxes. Where the law requires us to collect a tax on a sale to you, we may add it to the price your agent is quoted and pays [Pending review]. Where we do not collect a tax, you are responsible for any use tax, self-assessment or similar tax due where you are located. The Service does not currently ask for or derive your location; whether it will ask your agent for a location or business/personal-use statement, or derive a coarse location from the request, is [Pending review]. You warrant that any location or business/personal-use statement you or your agent give us is accurate, and you will indemnify us for any tax, interest or penalty caused by an inaccurate statement (section 14). You also make the sanctions representation in section 3.3. Refunds, when granted, go only to the paying wallet, and we hold no balances for you (section 7.5). This section allocates tax cost and responsibility between you and us; it does not change any obligation we owe directly to a taxing authority.
7.7 Receipts. Every extraction response carries a billing receipt showing the pages, free pages applied, pages charged and amount. A free call's signed receipt (section 5.6) records that the free tier was used and the wallet the free pages were granted to. A paid call's signed receipt includes the paying wallet address and the settlement's on-chain transaction hash.
8. Acceptable use
You may not use the Service, directly or through your agent, to:
- submit documents you are not authorized to submit (section 4);
- provide tax preparation services to third parties for compensation using the Service's output as the primary data source, without independently verifying all extracted values;
- resell, sublicense, white-label or offer the Service to third parties as your own service, without a separate written agreement with Outbranch Network LLC;
- obtain more than one free allowance by using multiple wallets, circumvent metering, page counting, idempotency, free-page limits or payment, submit forged or replayed signatures, or exploit a pricing or billing error;
- probe, scan, overload or attack the Service, or access jobs or results that are not yours;
- upload malicious files or content, or use documents or prompts designed to manipulate the AI models or the Service's behavior;
- use the Service in violation of any applicable law, including tax law, data-protection law and sanctions law;
- misrepresent the Service as a licensed tax preparation, review or filing service, represent to anyone that the Service's output has been verified when it has not, or present a receipt or anchored batch root as a certification of accuracy or of tax data (section 5.6);
- remove, obscure or alter any disclaimer, notice,
standard,data_handling, provenance or receipt information in the Service's output, or forge, alter or misattribute a receipt; - reverse-engineer the hosted Service. This does not limit your rights in the MIT-licensed open-source core (section 10.4); the exact scope of this item is [Pending review].
We may apply rate limits, file-size and page limits, spending limits and other technical controls to keep the Service working for everyone.
9. The Service may change
The Service is provided "as available". We may change, suspend or discontinue any part of it, including which AI providers and models are used (the Privacy Policy's provider table is updated before a new provider receives documents), supported document types, output formats, the standard version, the receipt format, signing keys and anchoring method, limits, the free tier and prices. We may perform maintenance at any time. We do not guarantee uptime, and no service-level agreement applies unless we sign one with you.
10. Your documents, our software, the outputs
10.1 Your documents. You keep all rights in your documents. You grant us only the limited right to receive, process and transmit them as described in the Privacy Policy for the purpose of returning your results. That right ends when processing ends and any held job result expires (Privacy Policy section 2.2).
10.2 Outputs. The structured data and files we return are yours to use. We claim no ownership of extracted data. Outputs carry notices and provenance that you must not remove (section 8).
10.3 Our software and marks. The Service, its software, the TaxClaw extraction standard, any TaxClaw receipt signing keys and the TaxClaw name and logo are owned by Outbranch Network LLC or its licensors. Nothing in these Terms lets you sign or issue anything in TaxClaw's name. Trademark clearance is [Pending review]. These Terms give you no license to any of them (section 10.4).
10.4 No software license; the open-source core. The Service is a service we perform on documents you supply. These Terms grant you no license to any software: you do not install, configure, control or access any software of ours, and nothing is delivered to you except the results of the extraction. Separately, the TaxClaw extraction core is released under the MIT License at https://github.com/DougButdorf/TaxClaw. The MIT License governs that source code; these Terms govern your use of the hosted Service. Nothing in these Terms restricts your rights under the MIT License to the open-source code.
10.5 Third-party components. The Service incorporates open-source and third-party components. Outbranch Network LLC is not responsible for defects in third-party components.
11. Privacy
Your use of the Service is also governed by the TaxClaw Cloud Privacy Policy, which is incorporated into these Terms by reference. In short: we hold no accounts and no contact details; your documents are processed in memory and never stored; the result of an extraction that runs too long to answer in one call is held for at most 1 hour after it completes; we never log document content or extracted values; OpenAI and Anthropic models read page images (never the PDF text layer); and we keep wallet, ledger, settlement and cost metadata. We treat your documents as tax return information under IRC §7216 (section 4.2). A written information security program designed to meet the FTC Safeguards Rule (16 CFR Part 314) is [Pending review], and we will give notice of a security incident affecting your information as the Privacy Policy and applicable law require.
12. No warranty: "as is"
THE SERVICE AND ITS OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. OUTBRANCH NETWORK LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE (INCLUDING FITNESS FOR PREPARING OR FILING ANY TAX RETURN), NON-INFRINGEMENT, ACCURACY OR COMPLETENESS OF EXTRACTED DATA, UNINTERRUPTED OR ERROR-FREE OPERATION, AND COMPATIBILITY WITH ANY AGENT, CLIENT, TAX SOFTWARE OR WORKFLOW. NO STATEMENT IN THE standard OBJECT, THE BENCHMARK, ANY RECEIPT OR ANCHORED RECORD, OR ANY DOCUMENTATION CREATES A WARRANTY. YOU USE THE SERVICE ENTIRELY AT YOUR OWN RISK. Consumer carve-outs required in some jurisdictions are [Pending review].
13. Limitation of liability
13.1 No indirect or consequential damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OUTBRANCH NETWORK LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, SUPPLIERS OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REFUNDS, CREDITS OR DEDUCTIONS, ARISING FROM YOUR OR YOUR AGENT'S USE OF THE SERVICE OR RELIANCE ON ANY OUTPUT OR RECEIPT, INCLUDING BUT NOT LIMITED TO:
- tax penalties, interest, assessments or underpayments;
- audit, examination or professional representation costs;
- lost refunds or missed deductions resulting from extraction errors;
- the cost of amended returns;
- any consequential financial harm;
EVEN IF OUTBRANCH NETWORK LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13.2 Liability cap. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUTBRANCH NETWORK LLC'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID TO OUTBRANCH NETWORK LLC FOR THE SERVICE, BY YOU OR ON YOUR BEHALF (INCLUDING FROM YOUR AGENT'S WALLET), IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Whether a minimum dollar amount applies to this cap, including where only free pages were used, is [Pending review].
13.3 Basis of the bargain. The free tier, the per-page price and the availability of the Service without accounts reflect this allocation of risk. These limitations are essential terms of this agreement; without them we would not offer the Service on these terms. If you do not accept them, do not use the Service.
13.4 Exceptions required by law. Some jurisdictions do not allow the exclusion or limitation of certain damages or liabilities. Nothing in these Terms limits any liability that cannot be limited under applicable law; in those cases, the limitations above apply to the fullest extent the law allows. Which liabilities cannot be limited is [Pending review].
14. Indemnification
You agree to defend, indemnify and hold harmless Outbranch Network LLC and its members, officers, employees, contractors, suppliers and affiliates from and against any claim, demand, loss, liability, penalty, cost or expense (including reasonable attorneys' fees) arising out of or relating to:
- (a) your or your agent's use of the Service, including your agent's configuration, its wallet, its payments and the documents it submits;
- (b) any document submitted without the authorization required by section 4, including any claim by a taxpayer whose documents were submitted;
- (c) any tax return or other filing, and any other use of the Service's outputs, by you or on your behalf;
- (d) your or your agent's breach of these Terms or of applicable law;
- (e) any tax, interest or penalty assessed on us because of an inaccurate location or business/personal-use statement that you or your agent gave us (section 7.6).
We will notify you of any such claim and may, at our option and expense, take over its defense. You may not settle a claim that imposes any obligation or admission on us without our written consent. Consumer-law limits on indemnification by individuals are [Pending review].
15. Suspension and termination
15.1 By you. You may stop using the Service at any time. There is no account to close. Free pages have no value and are not refundable.
15.2 By us. We may refuse, suspend or terminate service to any wallet, immediately and without notice, if we reasonably believe its use breaches these Terms, is unauthorized, abusive or unlawful, or creates legal or security risk for us or others. We may discontinue the Service at any time (section 9).
15.3 Effect. On termination your right to use the Service ends, and any held job result expires under the Privacy Policy's 1-hour rule. A payment authorization for an extraction that never succeeded is never settled. Sections 1, 2, 3.3, 4, 5, 6, 7.5, 7.6, 10, 12, 13, 14, 17 and 18 survive termination.
16. Changes to these Terms
We may update these Terms. Updated Terms will be posted at https://mcp.taxclaw.net/terms with a new "Last updated" date. Because we hold no contact details, we cannot notify you individually; how agents will be able to detect a change, and any posting period before material changes take effect, are [Pending review]. Your agent should check for changes before each use. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms. If you do not agree, stop using the Service.
17. Governing law; disputes
17.1 Governing law. These Terms are governed by the laws of the State of New York [Pending review], without regard to conflict-of-law principles.
17.2 Informal resolution first. Before filing a claim, you agree to email lando@outbranch.net with a description of the dispute and to give us 30 days [Pending review] to resolve it with you.
17.3 Venue. The state or federal courts located in New York County, New York [Pending review]. You consent to personal jurisdiction in those courts.
17.4 Arbitration and class-action waiver. Whether disputes will be resolved by binding individual arbitration with a class-action and jury-trial waiver is [Pending review].
17.5 Limitation period. Any claim arising from these Terms or the Service must be brought within one (1) year of the event giving rise to the claim, or it is permanently barred. [Pending review]
18. General
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Outbranch Network LLC about the Service and supersede any prior understanding.
- Severability. If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions remain in full force.
- No waiver. Our failure to enforce a provision is not a waiver of it.
